By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of that organization.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Services.

3. Description of Services

MorphVid provides AI-powered video generation services that create evolution and morphing videos based on user-provided text prompts, images, and audio files. The Services are provided on a pay-per-use basis and include:

• AI video generation from text prompts and images
• Secure file upload and temporary storage
• Payment processing through third-party providers
• Video delivery via email

4. Account Registration and Access

To use the Services, you must provide a valid email address. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any information to keep it accurate and current
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

5. User Content

5.1 Content Ownership

You retain all ownership rights to the content you submit to the Services ("User Content"), including text prompts, images, and audio files. By submitting User Content, you grant MorphVid a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely for the purpose of providing the Services to you.

5.2 Generated Content

You own the videos generated by our AI based on your User Content, subject to these Terms. You may use generated videos for personal and commercial purposes, provided you comply with all applicable laws and do not infringe on third-party rights.

5.3 Content Restrictions

You represent and warrant that you have all necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable laws. You are solely responsible for your User Content.

6. Prohibited Conduct

You agree not to use the Services to create, upload, post, transmit, or share content that:

• Depicts, facilitates, or promotes child sexual abuse or the sexualization of children
• Depicts, facilitates, or promotes terrorism or violent extremism
• Contains graphic violence or incites violence
• Depicts gore, such as dismemberment or mutilations
• Depicts or promotes animal abuse
• Contains sexually explicit content, including sex toys and certain fetish content
• Depicts adult nudity
• Attempts to create or modify non-consensual intimate imagery
• Dehumanizes or promotes discrimination or violence based on protected attributes such as race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Harasses, bullies, intimidates, defames, or abuses others
• Depicts, facilitates, or promotes self-harm, including disordered eating
• Violates the rights of others, including privacy and intellectual property rights
• Is misleading, fraudulent, or impersonates others
• Attempts to exploit or harm minors in any way
• Promotes illegal activities, including drug trafficking, weapons trafficking, or other criminal conduct

You further agree not to:

• Use the Services for any illegal purpose or in violation of any local, state, national, or international law
• Attempt to reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services in any manner that could disable, overburden, damage, or impair our infrastructure
• Use any robot, spider, or other automatic device to access the Services
• Introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material
• Attempt to gain unauthorized access to any portion of the Services, other accounts, systems, or networks
• Interfere with or disrupt the Services or servers or networks connected to the Services

We reserve the right to investigate violations of these Terms and to take appropriate action, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities. Certain violations, particularly those involving minors or illegal activities, will be reported to appropriate authorities including the National Center for Missing & Exploited Children (NCMEC).

7. Payment Terms

7.1 Fees

Certain features of the Services require payment. All fees are stated in U.S. dollars and are non-refundable except as expressly stated in these Terms. We reserve the right to change our fees at any time with 30 days' notice.

7.2 Payment Processing

Payments are processed through third-party payment providers (such as Stripe). You agree to provide accurate payment information and authorize us to charge the payment method you provide for all fees incurred.

7.3 Refunds

We do not provide refunds after video generation has begun. We may provide full refunds if we determine your content violates our Terms or Content Policy before processing begins. No refunds will be issued for content that violates our policies.

8. Intellectual Property

The Services and all associated intellectual property rights are and remain the property of MorphVid. These Terms do not grant you any rights to MorphVid's trademarks, logos, or other brand features. You may not use any of MorphVid's intellectual property without our prior written consent.

9. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms or our Content Policy
• Fraudulent or illegal activity
• Non-payment of fees
• Conduct that harms MorphVid or other users

Upon termination, your right to use the Services ceases immediately. We may delete your User Content and generated videos in accordance with our data retention policies.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, MorphVid disclaims all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy or reliability of content or results

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

MorphVid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your content
• Any content obtained from the Services

Our total liability for all claims arising from or relating to the Services shall not exceed the amount you paid us in the twelve (12) months prior to the claim, or one hundred dollars ($100), whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless MorphVid and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content or generated content

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in California. You consent to the personal jurisdiction of such courts.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Content Policy, constitute the entire agreement between you and MorphVid regarding the Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
